Terms and conditions

1. Scope
These general terms and conditions (“GTC”) govern use of the Wield software-as-a-service (the “Service”) operated by TecMinds GmbH, Lucerne, Switzerland (“TecMinds”). They apply between TecMinds and customers who register for Wield and use the Service under contract.
Customer terms that deviate from these GTC are only valid if TecMinds expressly agrees to them in writing.
2. Description of services
Wield is a web-based platform that supports recruitment firms and HR service providers in processing job postings, CVs, interviews, assessments and briefings. This includes in particular:
- automated extraction of structured information from application documents,
- AI-assisted matching between roles and candidates,
- automatically generated interview guides and transcriptions,
- structured assessment frameworks,
- AI-generated briefings and shareable client views.
The feature set is continuously developed. Individual features may be added, changed or — after reasonable notice — removed, provided the core purpose of the Service is not materially impaired.
3. Contract formation and registration
The contract is formed by registering an account and accepting these GTC, or at the latest upon first use of the Service. Customers must provide accurate and complete information at registration and keep it up to date. Access credentials must be kept confidential.
4. Licence
TecMinds grants customers a non-exclusive, non-transferable right to use the Service for the term of the contract within the agreed usage limits. Sublicensing to third parties, reverse engineering or attempts to obtain the platform source code are not permitted.
5. Customer obligations
- Customers are solely responsible for the lawfulness of data entered into Wield — in particular that a sufficient legal basis (contract, consent, legitimate interest) exists for uploading and processing candidate data and that data subjects have been adequately informed.
- Customers must comply with applicable data protection law, including Swiss FADP and, where relevant, the EU GDPR.
- Customers must notify TecMinds without delay if they suspect a security incident.
- Use of the Service for unlawful, discriminatory or abusive purposes is prohibited, in particular not for automated hiring decisions without human review.
6. Fees and payment
Use of Wield is subject to the agreed fees. Prices are in Swiss francs (CHF) unless otherwise stated, plus any applicable VAT. Invoices are delivered electronically and are due within 30 days net unless otherwise agreed.
In case of default TecMinds may suspend access to the Service after reasonable reminder.
7. Privacy and processing on behalf of customers
Processing of personal data through Wield is described in our privacy policy and, where required, in a separate data processing agreement (DPA). For candidate data TecMinds acts as a processor; the customer remains the controller.
When Wield is used as a hosted service (SaaS), TecMinds collects anonymised usage data (e.g. feature usage, processing duration, typical workflows). Personally identifiable characteristics are removed before storage. This data is used to operate the service reliably, detect performance issues, scale infrastructure and improve Wield. This paragraph does not apply to self-hosting.
8. Availability and maintenance
TecMinds strives for high availability but cannot guarantee uninterrupted service. Planned maintenance will, where possible, be performed outside business hours and announced in advance.
9. AI-generated content
Wield uses machine learning models to generate summaries, assessments, interview questions and briefings. Such content may contain errors, omissions or incorrect judgements. Customers must professionally review generated content before sharing it or making HR decisions. Hiring or rejection decisions must not rely solely on AI output.
10. Liability
TecMinds is liable only for damages caused by intent or gross negligence. Liability for slight negligence, consequential damages, lost profits, data loss or indirect damages is excluded to the extent permitted by law. Total liability is limited to the fees actually paid in the twelve months preceding the damaging event.
11. Term and termination
Unless otherwise agreed, the contract runs for an indefinite period and may be terminated by either party with 30 days’ notice to the end of a month. The right to extraordinary termination for cause remains reserved.
After termination, customer data will be deleted in accordance with the privacy policy unless statutory retention obligations apply.
12. Changes to these GTC
TecMinds may amend these GTC with at least 30 days’ notice. Changes will be communicated by email or through the Service. If a customer does not object within the notice period, the changes are deemed accepted.
13. Governing law and venue
Swiss substantive law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive place of jurisdiction for all disputes arising from or in connection with the contract is Lucerne, Switzerland, subject to mandatory law.
14. Final provisions
Should individual provisions of these GTC be invalid, the validity of the remaining provisions remains unaffected. Invalid provisions are replaced by a provision that comes closest to the economic purpose.
